A ceiling-mounted room exhaust fan assembly includes a fan supported in a cylindrical housing mountable on a ceiling in an attic of a structure. The housing has an exhaust opening at its upper (attic) end. A damper below the fan is movable under fluid pressure from an open configuration when the fan is actuated, in which the air passageway through the housing is substantially not blocked, and a closed configuration when the fan is not actuated, in which the air passageway is substantially blocked. A grill is located below the damper and is removably engageable with the housing. The grill has an outer peripheral flange configured for flush mounting against the lower surface of the ceiling. Also, the grill has plural air openings such that air in the room below the ceiling is exhausted through the grill into the attic when the fan is actuated.
